Terms and Conditions
These Terms and Conditions govern the service agreement between the provider named below and the customer who signs up on this website for the Essential Website, Pro Website, Online Store or Website + App plan (the "Customer"). By ticking the acceptance box on the sign-up form and completing payment, the Customer confirms they have read, understood and fully accept these terms. This is a translation of the Portuguese Terms and Conditions; if the two versions differ, the Portuguese version prevails.
1. Provider
Leonardo Marques, Portuguese tax number (NIF) 237085941, registered at Rua de Angola, n.º 79, 3030-037 Coimbra, Portugal, trading as SproutBolt (the "Provider"). Contact: [email protected] · +351 900 000 000.
2. Service
The Provider builds, hosts and maintains a website for the Customer, as described in the chosen plan on the sign-up date, including hosting, an SSL certificate and small content changes (text, opening hours, prices and images). New features, extra pages and structural changes are not included and are quoted separately.
The Pro Website plan also includes online bookings and payments. Payments made by the Customer's own clients are processed by a payment service provider (for example, Stripe) in an account in the Customer's name, and the money goes directly to the Customer. That provider's fees are not included in the monthly price and are paid by the Customer. The Provider sets up the service but never receives or holds the amounts paid by the Customer's clients.
The Online Store plan includes building an online store and uploading up to 50 products, based on photos and text supplied by the Customer. The payment rules of the previous paragraph apply. The Customer is responsible for shipping and carrier contracts, any invoicing software required by law in their country, their obligations as a seller towards their own customers (pre-contract information, the right of withdrawal, warranties and complaint handling) and the accuracy of the products and prices published. Products above the limit, photography and copywriting are quoted separately.
The Website + App plan includes everything in the Essential Website plus an Android app built from the website, published on Google Play with the Customer's name and icon, with notifications and updates included. The Google Play developer account is created in the Customer's name, and its fee ($25, one time) is paid by the Customer directly to Google. Publishing depends on Google's approval.
3. Prices and payment
- Setup fee: €15.00 (Essential Website), €15.00 (Pro Website), €99.00 (Online Store) or €25.00 (Website + App), paid at sign-up. It covers registering the domain for the first year, setting up hosting and the security certificate (https) and building the site; for the Online Store, it also covers setting up the store and uploading the products. The setup fee is not refundable, except when the right of withdrawal in section 7 is exercised.
- Domain: registered in the Customer's name. The yearly renewal is included in the monthly price while the agreement is in force. When the agreement ends, the domain remains the Customer's, who then renews it at their own cost.
- First month: free (30 days from sign-up).
- Monthly price: €7.00 per month (Essential Website), €20.00 per month (Pro Website), €39.00 per month (Online Store) or €15.00 per month (Website + App), charged automatically when the free period ends and then every month on the same date.
- Yearly payment: on the Essential Website and Website + App plans, the Customer may choose to pay €84.00 per year (Essential Website) or €180.00 per year (Website + App), the same as 12 monthly payments, with no setup fee. The yearly amount is charged in one payment when the free period ends and then every year on the same date. The yearly amount paid is not refundable, except when the right of withdrawal in section 7 is exercised.
- Prices are in euros and include VAT where applicable. For business customers in other EU countries with a valid VAT number, the reverse-charge rules may apply.
- Payments are processed by Stripe. By signing up, the Customer authorises the Provider to charge the monthly price to the chosen payment method on a recurring basis until the agreement ends.
- The Customer must keep the payment method valid and funded.
4. Minimum term
The Essential Website has a minimum term of 12 months, the Pro Website 12 months the Online Store 12 months and the Website + App 12 months, counted from the end of the free month. The promotional conditions (free month and setup price) are granted in return for this minimum term.
During the minimum term, the Customer agrees to keep the service and pay every monthly instalment. With yearly payment, the first paid year is the minimum term.
The Customer may upgrade to a higher plan at any time, paying the new monthly price from the following month. The current minimum term stays the same.
5. Renewal
After the minimum term, the agreement continues month to month at the current price, with no minimum term, and the Customer may end it at any time with effect at the end of the current month. Alternatively, the Customer may choose a new minimum term on the conditions the Provider offers at the time.
6. Early termination by the Customer
If the Customer ends the agreement before the end of the minimum term, or if the Provider ends it because the Customer breached it, the Customer must pay the Provider, as compensation, the monthly instalments remaining until the end of the minimum term.
Termination requests must be sent in writing to [email protected].
7. Right of withdrawal (consumers)
If the Customer is a consumer, they may withdraw from the agreement within 14 days of signing up, without giving a reason, by writing to the email above (EU Directive 2011/83/EU, Portuguese Decree-Law 24/2014). If they expressly asked for the service to start during that period, they pay a proportional amount for the service already provided. Customers acting for their business or organisation do not have this right.
8. Late payment
- If a payment fails, the Provider retries it and notifies the Customer by email, with the amount due and a payment link.
- If the amount is not paid within 15 days of the due date, the Provider may suspend the website until it is paid.
- Late amounts bear statutory late-payment interest, plus reasonable collection costs.
- If the amount is not paid within 30 days of the due date, the Provider may terminate the agreement, section 6 applies, and the Provider may use the legal means of debt collection available.
9. Customer content
The Customer supplies the text, images, logos and other information to publish, and confirms they hold the necessary rights and that the content is accurate and lawful. The Customer is solely responsible for the content they supply.
10. Ownership
The content supplied by the Customer and their domain belong to the Customer. The website's design, code and structure are licensed to the Customer while the agreement is in force. When the agreement ends, the website is switched off; within the following 30 days the Customer may ask for their content back.
11. Provider's obligations and liability
The Provider keeps the website available with due care; short interruptions for maintenance or for reasons beyond its control may occur. Except in cases of intent or gross negligence, the Provider's liability is limited to the amount the Customer paid in the previous 12 months.
12. Personal data
Personal data is handled as described in the Privacy Policy.
13. Changes
The Provider may change these terms by giving the Customer at least 30 days' notice by email. Changes never affect the price or the minimum term already running.
14. Governing law and disputes
The agreement is governed by Portuguese law. Disputes are settled by the courts of Coimbra, Portugal, without prejudice to the mandatory consumer protection rules of the consumer's country of residence.
Consumers in the EU may also use an out-of-court dispute resolution body. More information on the Portuguese consumer portal at www.consumidor.gov.pt. The Portuguese electronic Complaints Book is available at www.livroreclamacoes.pt.
